Dường như những chiếc quần jeans nam rộng vừa phải, thoải mái sẽ khiến bạn tưởng mình trông to ra, nhưng thực tế lại không, nó sẽ giúp bạn trông hài hoà hơn với tổng thể, cứ như nó là một món đồ vừa vặn với chính bạn chứ không phải mặc nhầm từ tủ đồ của người khác. 

“Những chiếc quần skinny có thể là mốt trong những năm gần đây nhưng khi cần đến một chiếc quần phù hợp cho riêng mình, bạn vẫn được quyền chọn những kiểu dáng khác thoải mái hơn”, Gordon Richardson, giám đốc thiết kế cho thương hiệu Topman chia sẻ.

Tom Courcey, tổng biên tập của nhà may Idle Man, gợi ý chúng ta nên chọn những chiếc quần raw denim: “Chúng sẽ mang lại cảm giác cổ điển hơn. Lý tưởng nhất cho những ai muốn gắn bó với chiếc quần nhiều năm hơn”. Thật vậy, những chiếc quần raw denim (quần jeans được bỏ qua công đoạn giặt công nghiệp để làm sáng màu) sẽ giúp kéo dài thời gian bạc màu của quần jeans . Hơn thế nữa, bạn sẽ trông thật tuyệt vời với tông màu xanh indigo đặc trưng và sẽ thật thú vị khi chính chủ nhân của chiếc quần sẽ quyết định tông màu của quần sau mỗi lần giặt.

Apartments cannot be used as hourly rental service

(Construction) – The Ministry of Construction receives recommendations from voters in Ho Chi Minh City sent by the Board of Volunteers through Official Letter No. 288 / BDN dated 24 July 2020 with the following content: “Voters recommend that the regulations on the use of apartments for the hourly, short-term rental service business should be reviewed, clearly explained along with imposing specific sanctions because at present, it is so hard to manage this type of lease that is subjected to much abuse in form of black spots involved in prostitution, drugs, and high-tech crimes ”.

In this regard, the Ministry of Construction has issued responding Official Letter 4757 / BXD-QLN dated 01 October 2020 as follows:

Regarding the use of apartments for residential purposes, Article 10.1.b of the 2014 Law on Housing regulated: “House owners that are domestic organizations, households and individuals and overseas Vietnamese will have the right to use housings for residential purposes and other purposes not prohibited by law”; at the same time, Article 6 of the Housing Law 2014 also prohibits the use of apartments for non-residential purposes.

Regarding the use of apartment buildings, Article 35 of the Government Decree No. 99/2015 / ND-CP dated October 20, 2015 detailing and guiding the implementation of a number of articles of the Law on Housing regulated prohibited acts in the management and use of apartment buildings such as arbitrary change of functions, purposes of shared use, common ownership of apartment buildings; causing noise beyond the extent provided by the law or discharging garbage, wastewater, toxic substances in contravention of the law; committing the prohibited acts specified in Article 6 of the Housing Law …

Thus, the law on housing prescribed prohibiting the use of an apartment for non-residential purposes such as hourly or short-term rental service.

The management and use of the apartment building in general and the management and use of the apartment in particular were specified in Circular No. 02/2016 / TT-BXD dated February 15, 2016 of the Minister of Construction promulgating the Regulations on management and use of the apartment building and Circular No. 28/2016 / TT-BXD dated 15 December 2016 of the Minister of Construction amending and supplementing a number of articles of the Circular No. 02/2016 / TT-BXD, Circular No. 06/2019 / TT-BXD dated 31 October 2019 of the Minister of Construction amending and supplementing a number of articles of Circulars relating to the management and use of the apartment building.

Article 39.1.e of Circular No. 02/2016/TT-BXD dated 15 February 2016 by the Minister of Construction promulgating the Regulations on management and use of apartment buildings (hereinafter referred to as Regulation 02 ) regulated that the owners of the apartment building are responsible for obeying the rules and regulations on the management and use of apartment buildings as well as promptly notifying the violations in management and use of apartment buildings.

On the other hand, Articles 48.3 and 49.2 of Regulation 02, specifically regulated the responsibilities of the People’s Committees of wards and districts in handling and handling according to their competence or request competent authorities to handle violations in management and use of apartment buildings. Therefore, apartment owners, when detecting any violations in the management and use of apartment buildings, should promptly report them to the People’s Committee of the ward or district where the apartment building is located for these agencies to solve according to their competence or request competent authorities to handle violations in management and use of apartment buildings.

Within the scope of its powers and responsibilities, in recent years, the Ministry of Construction has issued many documents to urge and remind localities to strengthen the implementation of State management in the management, use and operation of the apartment building to ensure that the apartment building is safe during use. The current housing law also has regulations on the responsibilities of the provincial People’s Committee for implementing and handling violations of the law on management and use of apartment buildings in the area.

Therefore, the Ministry of Construction requested the delegation of the Ho Chi Minh City National Assembly to send their opinions to the People’s Committee of Ho Chi Minh City to direct functional agencies to examine and inspect the compliance with the law on management and use of apartment buildings in the city in order to rectify the management and use of apartment buildings and promptly detect and handle violations in the management and use of apartment buildings in general and use of apartments for non-residential purposes.

WHAT DOES THE HOUSEKEEPER “DO” WHEN THE HOMEOWNER IS AWAY?

A joint stock company is built on the principle of separating the company’s ownership from its management rights. Shareholders (owners of the company) attend only once or twice a year the general meeting of shareholders and then dissolve. Between the general meeting of shareholders, all power is vested in the “housekeeper” who is the board of directors and the board of managers. From the perspective of a homeowner, his constant concern is whether housekeepers fulfill their assigned duties? The classic answer is “no,” because empowered people tend to abuse power and act for self-interest.

To protect shareholders and limit the manager’s ability to abuse the rights and act for self-interests, the law assigns legal responsibilities to managers. Accordingly, they must: (i) exercise their rights and obligations in an honest, prudent and best manner to ensure the legitimate interests of the company; (ii) be loyal to the interests of the company; fail to use information, know-how or business opportunities of the company, fail to abuse the position, title and use the company’s assets for self-interest or for the benefit of other organizations or individuals; (iii) publicize interests with the company and avoid conflicts of interest with the same. These regulations have an important meaning in the protection of shareholders and investors and are the basis for building a corporate governance system.

However, it must be said that the implementation of the responsibilities of managers in Vietnam in particular and corporate governance in general, has been very lax and disregarded. In general, compared to ASEAN countries, Vietnamese companies have the lowest average score on governance in terms of all five criteria: (1) Guarantee of shareholder rights; (2) Ensuring fair treatment among shareholders; (3) Ensuring the role of stakeholders in corporate governance; (4) Ensuring transparency and information disclosure; (5) Ensuring the roles and responsibilities of the Board of Directors.

WHEN THE LAW CHANGES ITS APPROACH

The Enterprise Law 2020 has changed the approach in this regard. One of the main objectives of the law is to improve a mechanism to effectively protect the legitimate rights and interests of investors, shareholders and members of the enterprise; to promote corporate governance to achieve standards of good practice and common practice regionally and internationally.

Of course, when promoting the interests of shareholders, in the opposite direction, the Enterprise Law 2020 places heavier responsibilities on managers, especially the members of the board of directors, because of the central role of the Board of Directors in corporate governance. This change triggers some risks for the board of directors and other managers of the company.

THE RISKS OF BEING “OVERTURNED” AT ANY TIME

Article 159 of the Enterprise Law 2020 allows the general meeting of shareholders, in addition to the usual cases, to dismiss and remove members of the Board of Directors “according to the other cases in the charter”. That is, the law allows the company to self-regulate the cases of removal and dismissal for the board members, even if they do not have any violations.

Also according to the Enterprise Law 2020, any shareholder or group of shareholders owning 10% of the total number of common shares (or a smaller percentage according to the charter), will be entitled to nominate candidates to the Board of Directors. Note that unlike the Enterprise Law 2014, Enterprise 2020 has removed the phrase “for a continuous period of at least six months” as a condition for shareholders to exercise their right to nominate.

With these two factors combined, a group of shareholders may, as soon as they hold a large number of shares in the company, propose to change the board of directors. If that group of shareholders is successful, the board of directors or some members of the board of directors may be “overturned” by surprise.

When the position of members of the board of directors changes, the executive positions will be the next object, because in turn, the executive positions (director, general director, chief accountant,…) will be selected and decided by the Board of Directors.

THE RISK OF BEING SUED EVEN IN GOOD FAITH

According to the Enterprise Law 2020, contracts and transactions between the company and related parties (such as major shareholders, members of the board of directors, directors/general directors; enterprises by board members, controllers, directors/general directors owning contributed capital or shares …) must be approved by the general meeting of shareholders or the board of directors. If it is not approved before signing, the contract or transaction will be considered void – ie, it is considered to have never existed. The company and the related party must then repay each other what it received from the contract. If the contract causes damage to the company, the contract signer, member of the board of directors or related manager must jointly compensate for any arising damage, refund to the company any benefits obtained from the that contract.

Currently, many businesses still sign contracts with related parties without paying attention to the approval procedure, especially when those contracts are beneficial to the company or are signed under normal commercial conditions. However, that approach will have to change as the Enterprise Law 2020 removes the element of “causing damage to the company” when considering the validity of the contract. With this provision, any contract or transaction is signed without complying with approval procedures will be automatically invalid, even if they are beneficial to the company, are signed in good faith and and not for profit. For related managers, due to failure to comply with contract approval procedures, they may be sued by shareholders due to violation of contract approval procedures.

RISKS OF TAKING JOINT RESPONSIBILITIES

According to Article 165.2 of the Enterprise Law 2020, the company manager, when violating the regulations on the responsibility of the manager, will have “personal or joint responsibility to compensate for lost benefits, return benefits received and compensated all damages to the company and a third party”. This is the most general provision binding on the responsibility of a manager. Therefore, if the charter does not specify the responsibilities of each manager (and usually the charter does not specify so), then in the case a board member breaches his responsibility and cause damage to the company, it is highly likely that the remaining members of the board of directors may also be jointly liable for the violating member.

RISKS OF REFUNDING BENEFITS TO THE COMPANY

The Enterprise Law 2020 introduces a completely new regulation, whereby a member of the board of directors, director or general director “acts on behalf of an individual or on behalf of another person to perform work in any form within “the company business” must explain the nature and content of that job to the Board of Directors and the Supervisory Board. They are only allowed to do this work when they are approved by the majority of the remaining members of the Board of Directors. If performing such work without declaration or without approval of the Board of Directors, all income from that activity belongs to the company.

To see the impact of this regulation, an example can be taken: during a business trip to an overseas partner company, the general director of the company is invited by the partner to speak at a partner conference and gets paid for that speech. In this case, when returning home, the board of directors or the supervisory board has the full right to request the general director to explain the reason for participation, the content of the speech, as well as the amount received for participation and speech at that conference. And if dissatisfied with that explanation, the board of directors can ask the general manager to transfer the income to the company. Obviously this has been a completely new and seemingly seldom-arising situation in business practice in Vietnam so far but will become a must in the future.

Sharing economy…

Vietnam is one of the leading countries in Southeast Asia that allows the pilot implementation of the “cooperation with business partners” model that many technology firms are currently applying. This is seen as a typical illustration of the concept of “cooperative economy” or “sharing economy”, which is the term commonly used in the past few years to talk about the business model in which players take advantage of digital technology development, help save transaction costs and reach a large number of customers through digital platforms. Simply put, this is the model in which the operator of the digital system, finds out and brings customers to individual partners. On the contrary, the partner will play the role of performing services (such as passenger transportation, delivery). Revenue is divided according to the agreement.

In light of nature and resultant economic efficiency, “sharing economy” is followed by the expression and at the same time the driving force behind the 4.0 Industrial Revolution to take place strongly in Vietnam as well as in the region. This help change the way of conducting business from manual to technology. It cannot be denied that “Sharing Economy” promotes economy, improves competition and innovation in the market. This model is also considered beneficial in helping platform providers and their partners develop together.

However, is such economy truly sharing?

Almost immediately, many technology firms have ignored the tax increase story by announcing a correspondingly increased fee schedule. The revenue share for cooperators is accordingly reduced significantly. Tax increases and fee hikes lead consumers to reconsider the choice of using the service. Once supply decreases, the rate of enjoyment downs, the burden is then placed on the shoulders of “business partners” of these firms.

From the economic perspective, although the technology firms themselves are involved in providing services to customers (as operators), these parties do not have to share any damage from the policy change. This is just one of many examples of the current scenario of a “sharing economy” in Vietnam,both half-hearted and inequal, in which workers are given the title of “partner”, but bear many disadvantages.

Many technology firms, including multinational companies, that already have “techniques” for this business cooperation model cleverly take advantage of the legal gaps to open up and develop profit opportunities. Calling workers “partners”, technology firms automatically remove an interest in such expenses as basic salary, social insurance and other employee benefits. On the other hand, thanks to reasonable costs due to reduced operating costs when applying “Sharing Economy”, technology firms have quickly gained a large market share, directly competing and even overwhelming the traditional enterprises.

With that edge, these firms also have the right to decide all service policies to provide to users, including price list and share rate, even though individual “business partners” are the authentic service providers. Through a matrix of agreements, contracts, terms that “partners”, sometimes as unskilled workers, cannot fully grasp the matter core that many firms have quickly taken ownership of the game. As argued by these firms, the law recognizes business cooperation relationships based on the agreement of the parties involved, provided that it is not unethical or illegal. That sounds right, but …

Workers, with no fixed wages, no insurance, no benefits, no voice and no protection, are clearly resigned to a relationship of sharing without “enjoying something ” from their own partner.

There have been multiple controversies about the authority to guide, the reasonableness and clarity of relationship between technology firms and “business partners”, not to mention discussions on current legal regulations (including recently enacted tax policies.) Vietnam clearly lacks a comprehensive, legal mechanism governing the “sharing economy” between technology firms and “business partners.” For this reason, state agencies are often very confused and passive in the state management of this new but not new field, and more importantly, do not have any instrument to protect workers’ interests when needed.

Workers are always the weaker side in the working relationship. Workers in the “sharing economy” are even more vulnerable when they have to invest money in means and tools to facilitate cooperation with technology firms, even to borrow money. Vietnamese law respects the agreement and voluntariness of the parties to the transaction. However, this does not mean that we should allow excessive liberalization of unequal business concepts and structures that in the long run can affect the interests of workers. Besides, it is clear that technology firms, with “Sharing Economy”, are having great edges in the market game, product prices, but are looking to push the burden on workers. The issue of ensuring fair competition and interests should also be considered so that workers have more choices in finding a really suitable partner.

In Vietnam, the upcoming 2019 Labour Code, which introduces reforms, contributes to blurring the boundaries of cooperation/service relationships between individuals and businesses and labor relations. Around the world, a number of foreign courts and authorities have also identified the technology firms providing the connection platform as the employers. Accordingly, we also expect the more specific and clearer guidance from Vietnamese lawmakers on “Sharing Economy”, especially in the context of important legal documents on investment and business in Vietnam including the Enterprise Law 2020, Investment Law 2020 that will take effect from January 2021.
